Tax and Fee Changes in 2025

Business Taxation Changes/ GEO 156 from December 30, 2024
Starting from January 2025, GEO 156/2024 introduces a series of fiscal changes impacting business taxation:
Dividend Tax
The tax rate increases from 8% to 10%
Important Aspects:
- Dividends distributed but unpaid by December 31, 2024, are taxed at 8%, and the tax is due by January 25, 2025.
- For dividends distributed based on interim financial statements submitted during 2024, the tax rate remains at 8%.
IMPORTANT CHANGES:
1. 2025 - starting from 2025, the income threshold for micro-enterprises decreases from 500,000 EUR to 250,000 EUR
2. 2026 - starting from 2026, the income threshold for micro-enterprises decreases to 100,000 EUR
OBLIGATIONS FOR AFFECTED COMPANIES:
- Companies affected by this change must complete and submit form D700 on the ANAF website by March 31.
- To determine the income threshold for classification as a micro-enterprise, annual revenues generated by affiliated enterprises, where a shareholder holds more than 25% of shares, are also considered.
THE TAX RATE FOR MICRO-ENTERPRISES IS:
✔️ 1% for revenues up to 60,000 EUR
✔️ 3% for revenues exceeding 60,000 EUR
✔️ 3% for revenues of companies with primary or secondary activities corresponding to the following NACE codes:
NACE Codes:
5821, 5829, 6201, 6209, 5510, 5520, 5530, 5590, 5610, 5621, 5629, 5630, 6910, 8621, 8622, 8623, 8690
6210, 6290, 5611, 5612, 5622, the last 5 codes are added starting from 2025.
Construction Tax
WHAT YOU NEED TO KNOW:
- Starting from 2025, the construction tax, also known as the "pillar tax," is reintroduced; this tax was previously in effect between 2014 – 2016.
- The construction tax rate is 1%, applicable to the value of constructions held in the company's assets as of December 31 of the previous year.
The tax applies to constructions listed in Group 1 of the Classification Catalogue of Fixed Assets according to HG 2139/2004, except for buildings.
The construction tax is paid in 2 equal installments, on June 30 and October 31.
Within 90 days from publication, meaning by the end of March 2025, the methodological application rule for this tax will be published.
Examples of constructions belonging to Group 1 in the Classification Catalogue of Fixed Assets:
- barracks, warehouses
- ballast, macadam, or concrete runways and platforms
- loading-unloading ramps
- chimneys and cooling towers
- agricultural buildings, silos for storing fodder or grains
- greenhouses, solariums, bridges, walkways, overpasses
- tanks, storage reservoirs, and barrels
- construction of street billboards and many others
We recommend identifying constructions subject to the tax during the annual inventory of assets.
